Members expressly agree that the terms and<br \/>conditions of this Agreement shall be considered Confidential Information and shall not be<br \/>disclosed without the written consent of CRC.<br \/>Representations and warranties.<br \/>Member represents and warrants that all of its roofing services will be provided in a professional<br \/>manner in accordance with customary practice in the roofing industry and will substantially<br \/>conform to any written specifications provided herein.<br \/>By entering into a Leader Agreement or Membership Agreement with CRC, Member further<br \/>represents and warrants that it has full power and authority to enter into and execute such<br \/>Agreement; that the execution, delivery and performance of said Agreement has been duly<br \/>authorized and constitutes a valid and binding agreement; and that the execution, delivery and<br \/>performance of such Agreement shall not result in, constitute a breach of, or violate any provision<br \/>of any agreement or other instrument to which the Member is a party.<br \/>Responsibility; Release.<br \/>Disclaimer.CRC shall have no liability with respect to the services provided, or to be provided, by<br \/>any Member or sponsor, affiliate or unaffiliated third party provider (collectively, &#8220;Provider&#8221;). Members agree to defend (from the inception of any claim, suit or demand),<br \/>indemnify and hold harmless CRC and its committees, directors, officers, owners, managers,<br \/>members, agents, affiliates, subsidiaries, distributors, representatives, employees. volunteers,<br \/>representatives and attorneys from any and all claims, demands, liabilities, obligations, losses,<br \/>costs and expenses, including reasonable attorneys&#8217; fees, that CRC may suffer, sustain or be subject<br \/>to in connection with the incident. a, resulting from or arising out of or in any way related to or<br \/>arising out of or as a result of (i) the negligence, gross negligence or willful misconduct of the<br \/>Member in the performance of its duties and obligations hereunder, (ii) the Member&#8217;s negligence,<br \/>gross negligence, or willful misconduct in the performance of any roofing service for any customer,<br \/>(iii) any false statement made by the Member or any of its employees, contractors or agents<br \/>and\/or any false, misleading or deceptive statement or action to any other person or in connection<br \/>with any roofing service provided or to be provided, (iv) any bodily injury, property damage or<br \/>personal or publicity injury to any other person or entity, (v ) infringement of the intellectual<br \/>property rights of a third party by the Member, or its products and services (vi) the material breach<br \/>by the Member of any duty, representation or warranty under this Agreement, or (vii) any violation<br \/>of applicable law by the Member (all referred to as &#8220;Indemnified Claims&#8221;). or agents and\/or any<br \/>false, misleading or deceptive statement or action to any other person or in connection with any<br \/>roofing services provided or to be provided, ( iv) any bodily injury, property damage or personal or<br \/>publicity injury to any other person or entity, (v) infringement of the intellectual property rights of<br \/>a third party by the Member, or its products and services (vi) the breach material by Member of<br \/>any duty, representation or warranty under this Agreement, or (vii) any violation of applicable law<br \/>by Member (all referred to as \u201cIndemnified Claims\u201d). or agents and\/or any representation or action<br \/>false, misleading or deceptive to any other person or in connection with any roofing service<br \/>provided or to be provided, (iv) any bodily injury, property damage or personal or advertising injury<br \/>to any other person or entity, (v) violation of Member&#8217;s intellectual property rights of a third party,<br \/>or its products and services (vi) Member&#8217;s material breach of any duty, representation or warranty<br \/>under this Agreement, or (vii) any violation of applicable law by the Member (all referred to as<br \/>&#8220;Indemnified Claims&#8221;). (v) infringement of the intellectual property rights of a third party by the<br \/>Member, or its products and services (vi) the material breach by the Member of any duty,<br \/>representation or warranty under this Agreement, or (vii) any violation of applicable law by the<br \/>Member Member (all referred to as &#8220;Indemnified Claims&#8221;). (v) infringement of the intellectual<br \/>property rights of a third party by the Member Member, or its products and services (vi) any<br \/>material breach by Member of any duty, representation or warranty under this Agreement, or (vii)<br \/>any violation of applicable law by Member (all referred to as &#8221; Indemnified Claims&#8221;).<br \/>In the event that CRC becomes a defendant or party to any action or proceeding, judicial or<br \/>administrative, instituted by a third party for any claim, judgment, liability, cost or expense that is<br \/>an Indemnified Claim (any third party action or proceeding called \u201cThird Party Claim\u201d), CRC must<br \/>notify the Member as soon as possible in writing. Failure to notify will not affect CRC&#8217;s ability to<\/p><p>seek compensation. Members will contest and defend such Third Party Claim through counsel of its<br \/>choosing. Member shall notify CRC of the intent to contest and defend within twenty (20) days of<br \/>CRC&#8217;s notification of such third party claim (but in all cases, at least five (5) business days prior to<br \/>date a response to such Third Party Claim must be filed, if applicable) CRC shall have the right at<br \/>any time, at its own cost and expense, to participate in such contest and defense and to be<br \/>represented by counsel of its own choosing. If CRC elects to participate in such defense, CRC will<br \/>cooperate with Member in conducting such defense, and Member will cooperate with CRC.<br \/>Members may not grant, settle or compromise any Third Party Claim without the written consent<br \/>of CRC (such consent shall not be unreasonably withheld, conditioned or delayed) unless (i) no<br \/>violation of applicable law is found or admitted. against CRC and (ii) the only remedy provided is<br \/>monetary damages which are paid in full by the Member. If CRC elects to participate in such<br \/>defense, CRC will cooperate with Member in conducting such defense, and Member will cooperate<br \/>with CRC. Member may not grant, settle or compromise any Third Party Claim without the written<br \/>consent of CRC (which consent will not be unreasonably withheld, conditioned or delayed) unless<br \/>(i) no violation of applicable law is found or admitted against CRC and (ii) the only remedy provided<br \/>is monetary damages which are paid in full by the Member. If CRC elects to participate in such<br \/>defense, CRC will cooperate with Member in conducting such defense, and Member will cooperate<br \/>with CRC. Members may not grant, settle or compromise any Third Party Claim without the written<br \/>consent of CRC (such consent shall not be unreasonably withheld, conditioned or delayed) unless<br \/>(i) no violation of applicable law is found or admitted. against CRC and (ii) the only remedy<br \/>provided is monetary damages which are paid in full by the Member.<br \/>Miscellaneous.<br \/>Relationship of the Parties. Member is an independent business owner and is not an agent,<br \/>employee, partner or representative of CRC. Nothing contained in this Agreement shall be<br \/>construed as creating a joint venture, partnership, agency or employment relationship between<br \/>CRC and the Member. Members have no authority to bind CRC except to the extent CRC approves<br \/>in writing.<br \/>Waiver of Warranties. Except as expressly set forth in the Agreement, CRC hereby specifically<br \/>disclaims any representations or warranties, express or implied, with respect to the Services,<br \/>including any implied warranties of merchantability or fitness for a particular purpose or implied<br \/>warranties arising out of course of business. treatment or course of performance. . CRC is not a<br \/>direct dealer, manufacturer or supplier of any Conklin or any other manufacturer&#8217;s products.<br \/>ACCORDINGLY, ALL PRODUCTS, SERVICES, ADVICE, MERCHANDISE AND INFORMATION AVAILABLE<br \/>TO MEMBERS ARE PROVIDED ON AN &#8220;AS IS&#8221;, &#8220;AS AVAILABLE&#8221; BASIS. WITHOUT WARRANTIES OF<br \/>ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE<br \/>OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.<br \/>WITHOUT LIMITING THE FOREGOING, NO WARRANTY IS MADE REGARDING THE COMPLETENESS,<br \/>ACCURACY, RELIABILITY OR QUALITY OF ANY INFORMATION, CONTENT, DATA, SERVICE, ADVICE,<br \/>PRODUCT OR MERCHANDISE PROVIDED OR AVAILABLE OR PURCHASED BY MEMBERS THROUGH<br \/>THE CRC WEBSITE OR OTHERWISE THROUGH CRC MEMBERSHIP. MEMBERS AGREE TO NEVER<br \/>IMPLY OR REPRESENT THAT CRC PROVIDES ANY TYPE OF WARRANTY OR GUARANTEE ON ITS<br \/>WORKMANSHIP OR PRODUCTS.\u201d<\/p><p>Governing Law. All agreements and transactions between the Member and CRC shall be governed,<br \/>construed and enforced in accordance with the internal laws of the State of FLORIDA, without<br \/>regard to any of its choice of law principles.
